Albert S. Waxman
Dr. Waxman, Ph.D. is the founder and Senior Managing Director of Psilos Group, a Silicon Alley-based venture capital firm with offices in New York and San Francisco. Dr. Waxman is recognized as one of the innovators in care management and healthcare services. He formed Psilos to create and invest in companies which will use the new information technology (such as the Internet) to transform industries with a predominant focus on the healthcare services and e-health applications. Currently, Dr. Waxman serves as Chairman of four Psilos companies: Active Health Management, Health Hero Network, Coordinated Care Solutions and Comprehensive Neurosciences, and is a member of the Board of Directors of several other Psilos companies. Dr. Waxman also serves on the Board of Directors of the New York City Investment Fund, a fund started by leading companies in New York and headed by Henry Kravis, the purpose of which is to create new business and job opportunities in New York City. Prior to Psilos, Dr. Waxman was most recently Chairman and Chief Executive Officer of Merit Behavioral Care and its predecessor companies: American Biodyne and Medco Behavioral Care, a subsidiary of Merck & Co., Inc., until it was acquired by Magellan Health Services in February 1998. During this period, he brought American Biodyne public, sold it to Medco, and organized a management buyout of it from Merck, then its parent. Prior to American Biodyne, Dr. Waxman served as President, Chairman and CEO of Diasonics, Inc., one of the first medical companies to provide ultrasound and magnetic resonance imaging in the U.S. Dr. Waxman holds a number of U.S. and foreign patents for display, imaging and diagnostic technologies and products. Dr. Waxman holds a Bachelor of Science degree in Electrical Engineering from the City College of New York and Master and Doctoral degrees in Electrical Engineering from Princeton University.

Dan Janney
Dan joined Alta as a Director in 1996 and has focused on life sciences investments. Prior to joining Alta, he was a senior investment banker at Montgomery Securities where his responsibilities included public offerings, strategic advisory assignments and advice on mergers, acquisitions and divestitures for life sciences companies. Previously, Dan was at Bankers Trust Company from 1990 to 1993 in the leveraged buyout/private equity group. Dan received a Master of Business Administration from the Anderson School at the University of California, Los Angeles and a Bachelor of Arts in History from Georgetown University.

Michael E. Dougherty
Mr. Dougherty is founder and chairman of Dougherty Financial Group, Minneapolis, an investment firm managing over $12B in assets. Mr. Dougherty is a member of the boards of Countrywide Credit Industries, University of MN Physicians Group, Public Securities Association and the University of Minnesota Foundation. Mr. Dougherty is a former chairman of the Board of Governors, University of Minnesota Health System, former board member of Colwell Industries and Allied Group, Inc. and a former director of the Federal National Mortgage Association Advisory Council. Mr. Dougherty received his Bachelor of Arts degree from the University of St. Thomas.

Thomas F. Madison
Mr. Madison is the President and CEO of MLM Partners, a business, consulting and investment group. Prior to that, he spent time as the President & CEO of Northwestern Bell Telephone Company, the Executive Vice President of U S West, Inc., President of U S West Information Markets Group, President of U S West Communications, Vice Chairman & Office of the CEO at Minnesota Mutual Life Insurance Company and Chairman of Communication Holdings, Inc. Mr. Madison is currently a director on the following boards: Valmont Industries, Inc., Delaware Group of Funds, Banner Health System, Digital River, ACE Telecentrics, Optical Solutions, Safeguard Scientifics Advisory Board and Lightning Rod Software. Mr. Madison has a BS in Aeronautical Engineering from the University of Minnesota and participated in the Management Objectives program at Carleton College.

Tony Miller
A cofounder of Definity Health, Mr. Miller has broad management experience in the managed healthcare sector. Prior to organizing Definity Health in 1999, Mr. Miller was a consultant at Deloitte Consulting, where he focused on strategic business development in the managed care industry, including mergers and acquisition, market development and performance turnarounds. Earlier, Mr. Miller worked for United Healthcare Corporation at the plan and corporate levels. Mr. Miller has an MBA from Cornell University’s Johnson Graduate School of Management and an MS in kinesiology from the University of Illinois at Champaign-Urbana.

Craig Swanson
Mr. Swanson, a cofounder of Definity Health, has worked extensively in the delivery and payer sectors of the healthcare industry. Previously with Deloitte Consulting, he provided strategic consulting to large healthcare and telecommunications companies. A focus of his work was preparing those industries for fundamental changes due to the evolving role of the Internet. Prior experience included investment banking, commercial banking and commercial real estate. Mr. Swanson has an MBA in finance from the University of Minnesota Carlson School of Management.

Matthias B. Bowman
At the time of his retirement in November 2002, Mr. Bowman was President and Chief Executive Officer of Merrill Lynch Ventures. Merrill Lynch Ventures manages a series of private equity funds organized on behalf of the employees of Merrill Lynch. Mr. Bowman joined Merrill Lynch in 1972, became a Managing Director in Merrill’s Investment Banking Group in 1978 and a Vice Chairman of that Group in 1993. Mr. Bowman has also been a Director of Teleport Communications Group, Borg-Warner Automotive, Del Monte Foods, U.S. Food Service, and Supermarkets General Corporation. He is currently a consultant to Merrill Lynch Ventures, with his efforts focused in the healthcare industry. He is a Trustee and member of the Executive Committee of the American Cancer Society Foundation. Mr. Bowman graduated summa cum laude from Williams College in 1970, and in 1972 graduated from Harvard Business School as a Baker Scholar.

David F. Dalvey
David F. Dalvey is a Partner of Brightstone Capital, a Minneapolis-based venture capital fund. Mr. Dalvey has over twenty years of corporate finance and venture capital experience with Minnesota-based investment banking and venture capital firms. Over the past twelve years, Mr. Dalvey has provided over $800 million of early stage, equity capital into a variety of growth-oriented companies through over 130 private and public equity investments.
